Fulfillant Store Authorization Agreement

1. Introduction

This Store Authorization Agreement (“Agreement“) is entered into by and between:

Fulfillant (“Supplier“), a dropshipping supplier with its principal place of business at 2nd Floor, Building 7, Baicai Technology Park, Niushan Woling Industrial Zone, Huijing Road, Dongcheng Street, Dongguan City, Guangdong Province, China, and

Fulfillant (“Merchant“), operating the e-commerce store(s) at https://www.fulfilldog.com/index/.

This Agreement sets forth the terms and conditions under which Merchant is authorized to list and sell products supplied by Fulfillant through Merchant’s e-commerce store(s).

2. Authorization Grant

Subject to the terms of this Agreement, Fulfillant hereby grants Merchant a non-exclusive, non-transferable, revocable authorization to:

a) List Fulfillant’s products in Merchant’s e-commerce store(s)
b) Market and sell Fulfillant’s products to end customers
c) Use Fulfillant’s product images, descriptions, and marketing materials solely for the purpose of selling products through the authorized store(s)

3. Store Integration Requirements

Merchant agrees to:

a) Platform Compliance: Maintain and operate their e-commerce store(s) in compliance with all platform terms of service (e.g., Shopify, WooCommerce, Amazon, eBay)
b) Accurate Information: Keep store information current, including business name, contact details, and return policies
c) Professional Presentation: Present Fulfillant’s products in a professional manner that doesn’t misrepresent product quality or features
d) Brand Guidelines: Adhere to any specific brand usage guidelines provided by Fulfillant

4. Account Setup and Verification

a) Registration: Merchant must complete the Fulfillant supplier registration process
b) Verification: Provide valid business documentation including:

  • Business registration certificates
  • Tax identification numbers
  • Valid government-issued ID
  • Store verification details
    c) Account Security: Maintain secure access credentials and notify Fulfillant immediately of any unauthorized account access

5. Order Processing Requirements

a) Order Forwarding: Forward customer orders to Fulfillant within 24 hours of receipt
b) Complete Information: Provide accurate shipping addresses and customer contact information
c) Inventory Synchronization: Maintain accurate inventory levels and implement recommended sync tools where available
d) Customer Service: Handle all customer inquiries, returns, and issues as the primary point of contact

6. Branding and Marketing

a) White Label Shipping: Fulfillant will ship products without visible branding or invoices unless otherwise specified
b) Marketing Compliance: Merchant agrees not to make false or misleading claims about products
c) Intellectual Property: Respect all copyrights, trademarks, and intellectual property rights of Fulfillant and its suppliers
d) Advertising Restrictions: Comply with any platform-specific advertising restrictions for dropshipped products

7. Performance Standards

Merchant agrees to maintain:

a) Order Accuracy: Maintain order accuracy rate of 99% or higher
b) Customer Service Response: Respond to customer inquiries within 24 business hours
c) Return Rate: Maintain product return rate below 5%
d) Policy Compliance: Adhere to all platform policies and consumer protection laws

8. Data Protection and Privacy

a) GDPR/CCPA Compliance: Both parties agree to comply with applicable data protection laws
b) Customer Data: Merchant is responsible for securing customer data and obtaining necessary consents
c) Data Sharing: Limit shared data to only what’s necessary for order fulfillment
d) Security Breach: Notify Fulfillant immediately of any data security breaches affecting shared information

9. Fees and Payment Terms

a) Product Costs: Pay all product and shipping costs according to Fulfillant’s current price list
b) Payment Method: Maintain valid payment method on file for automatic order processing
c) Credit Terms: Eligible merchants may apply for credit terms after 3 months of successful partnership
d) Disputes: Resolve payment disputes within 7 business days

10. Term and Termination

a) Term: This Agreement remains in effect until terminated by either party
b) Termination for Cause: Either party may terminate for material breach with 14 days written notice
c) Immediate Termination: Fulfillant may terminate immediately for:

  • Violation of platform terms of service
  • Fraudulent activity
  • Multiple customer complaints
  • Payment disputes or chargebacks exceeding 2% of orders
    d) Post-Termination: Merchant must remove all Fulfillant products and materials upon termination

11. Limitation of Liability

Fulfillant’s total liability to Merchant shall not exceed the total fees paid by Merchant in the six months preceding the claim. Neither party shall be liable for indirect, special, or consequential damages.

12. Indemnification

Merchant agrees to indemnify and hold harmless Fulfillant from any claims, damages, or losses arising from:

  • Merchant’s violation of platform policies
  • False advertising or marketing claims
  • Customer service failures
  • Data protection violations
  • Intellectual property infringement

13. Governing Law and Dispute Resolution

a) Governing Law: This Agreement shall be governed by the laws of China
b) Dispute Resolution: Parties agree to mediate disputes before pursuing legal action
c) Venue: Legal proceedings shall be brought in the courts of China

14. Amendments

Fulfillant may update this Agreement with 30 days written notice. Continued use of services constitutes acceptance of modified terms.

15. Entire Agreement

This Agreement constitutes the complete understanding between the parties and supersedes all prior agreements, oral or written.

ACCEPTANCE AND AUTHORIZATION

By checking the box during registration or using Fulfillant’s services, Merchant acknowledges having read, understood, and agreed to be bound by all terms and conditions of this Agreement.
